Master Terms of Service & Data Processing Addendum
1. Agreement & Scope
These Master Terms of Service and Data Processing Addendum form a binding agreement between Street Perkz, operating The GeoPilot, and the business customer using the service.
The service may include SaaS software, conversational AI sales receptionist widgets, lead-management command centers, CRM features, APIs, integrations, notifications and related services.
2. AI Disclaimer & Business Responsibility
AI-generated outputs may be incomplete, inaccurate or unsuitable for a particular situation. The business customer remains responsible for physical surveys, final tariffs and quotations, insurance representations, contracts, service availability, moving operations and customer commitments.
The GeoPilot is a technology provider and is not itself a freight forwarder, motor carrier, moving company, broker, insurer or party to a customer's transportation contract unless expressly agreed in writing.
3. Subscription, Trial & Billing
Subscriptions may begin with a trial period or paid plan as presented at purchase. Fees, usage limits, document or lead limits, user limits and plan features are governed by the applicable order or pricing page.
Unless otherwise stated or required by applicable law, fees become non-refundable after a paid service period has commenced.
4. Acceptable Use
Customers may not reverse engineer the service, use it to train a competing AI product, conduct attacks or abuse, misrepresent AI as a licensed human professional, facilitate unlawful activity or use the service for hazardous or illegal freight in violation of applicable law.
5. Sponsored Advertising & Commercial Content
Where enabled, the customer authorizes The GeoPilot to display clearly identified sponsored advertisements, promotional messages and referral offers within the widget or related service interfaces, including after an AI conversation.
The GeoPilot may determine advertising inventory, placement, format, frequency, campaign duration, eligible categories, pricing and participating advertisers, subject to applicable law and any separate written agreement.
Unless a separate agreement states otherwise, advertising inventory and related advertising revenue belong to The GeoPilot.
The display of an advertisement does not mean that The GeoPilot has sold or transferred the visitor's personal lead data to the advertiser. Identifiable lead information such as name, phone, email, address, chat transcript, moving details, uploads or CRM records will not be provided to an advertiser merely because an advertisement is shown or clicked, unless separately disclosed, authorized or legally permitted.
Advertising may use general contextual information to select relevant categories. The GeoPilot will not introduce individualized behavioral advertising, profiling, precise-location advertising, tracking pixels or similar higher-risk advertising features without implementing applicable legal, contractual and notice/consent requirements.
Advertisements will be clearly identified as advertisements, sponsored content or sponsored offers. Advertisers are independent third parties and are responsible for their own products, services, claims and legal compliance.
The GeoPilot may reject, suspend or remove advertisements that are unlawful, misleading, deceptive, unsafe or otherwise inappropriate.
6. Customer Responsibilities
- Provide accurate business and service information.
- Maintain lawful pricing, service and customer practices.
- Provide appropriate privacy notices and obtain permissions where required.
- Ensure uploaded knowledge-base material may lawfully be processed.
- Review important AI-generated communications before relying on them where appropriate.
- Keep account credentials and access permissions secure.
7. Data Processing Addendum
7.1 Roles
For customer-provided personal data processed on behalf of the customer, the customer will generally act as the Data Fiduciary or Controller and The GeoPilot will generally act as the Data Processor or Processor, depending on applicable law.
7.2 Processing
The GeoPilot may process personal data to provide the AI receptionist, CRM, lead routing, dispatch alerts, customer support, security, service administration, troubleshooting and other contracted services.
7.3 Advertising Boundary
Sponsored advertising is a separate commercial service function. The GeoPilot may process non-identifying, aggregate, statistical, campaign-performance, contextual and technical information to operate and measure advertising, subject to applicable law and contractual controls.
The GeoPilot will not disclose identifiable lead information to an advertiser merely because an advertisement is displayed or clicked. Any future advertising feature involving additional personal-data sharing, tracking, profiling or targeted advertising will require appropriate disclosures, permissions, agreements or other lawful mechanisms where required.
7.4 Confidentiality & Security
The GeoPilot will maintain appropriate confidentiality and security measures for customer data and will require relevant personnel and service providers to maintain appropriate safeguards.
7.5 Data Subject Assistance
Where reasonably required, The GeoPilot will provide assistance appropriate to its role so the customer can respond to applicable data-subject requests.
7.6 Deletion
Following termination, customer personal data will be deleted or returned according to the applicable service configuration and contractual requirements, subject to backups, legal obligations and legitimate security or dispute-resolution requirements.
8. Subprocessors
Depending on the service configuration, subprocessors or infrastructure providers may include AWS, Supabase, Google Cloud / Vertex AI, Resend and Meta WhatsApp API. The GeoPilot may update its subprocessor list as the service evolves.
9. Intellectual Property
The GeoPilot, its software, interfaces, workflows, branding, documentation and underlying technology remain the property of Street Perkz or its licensors. Customers retain rights in their own content and data, subject to the licenses necessary to provide the service.
10. Third-Party Services
Integrations and third-party services may be subject to their own terms, privacy policies and availability. The GeoPilot is not responsible for independent third-party services outside its reasonable control.
11. Availability & Suspension
The service may occasionally be unavailable for maintenance, upgrades, security events or circumstances outside reasonable control. The GeoPilot may suspend access for non-payment, security risks, unlawful use or material breach.
12. Indemnity & Limitation
To the extent permitted by law, the customer is responsible for claims arising from its business operations, customer commitments, content, unlawful instructions or misuse of the service. Liability limitations and exclusions apply to the maximum extent permitted by applicable law.
13. Advertising Disclaimer
Sponsored content is provided for promotional purposes. The GeoPilot does not guarantee the quality, legality, availability, price or performance of an advertiser's product or service. Users should evaluate third-party offers independently.
14. Governing Law
Unless otherwise required by mandatory applicable law, these Terms are governed by the laws of India, and courts in India will have jurisdiction over disputes, subject to any mandatory jurisdictional rights.
15. Changes
The GeoPilot may update these Terms when necessary. Material changes may be communicated through the service or by other reasonable means.
16. Entire Agreement
These Terms, applicable order or subscription terms, and any separately executed agreements form the agreement between the parties concerning the service. In the event of conflict, a separately executed written agreement will control to the extent expressly stated.
