Master Terms of Service & Data Processing Addendum (DPA)

1. Acceptance of Terms & Service Scope
These Master Terms of Service ("Terms") constitute a legally binding agreement between Street Perkz, operating as The GeoPilot ("The GeoPilot", "we", "us", or "our"), and the business entity or moving company ("Customer", "Subscriber", or "You") subscribing to or utilizing our software-as-a-service (SaaS) platform, conversational AI sales receptionist widgets, lead management command centers, and related APIs (collectively, the "Service").
By registering an account, embedding our chat widget script on your website, or accessing our platform, you explicitly agree to these Terms and the embedded Data Processing Agreement (DPA). If you are entering into this agreement on behalf of a company, you represent that you possess full legal authority to bind that entity.
2. AI Accuracy, Mistake Disclaimer & Financial Independence
2.1 AI Output Limitations: The GeoPilot utilizes probabilistic large language models (LLMs) and automated heuristics. While designed for high reliability, AI-generated outputs, preliminary price estimates, item lists, and chat responses may occasionally contain inaccuracies, hallucinations, or miscalculations. All AI-generated estimates are strictly preliminary and informational.
2.2 Moving Company's Sole Responsibility: The Customer (Moving Company) is 100% legally and operationally responsible for performing physical pre-move surveys, verifying actual cargo volume, formulating final binding tariffs, providing transportation insurance, executing physical moves, and issuing official contracts.
2.3 Zero Financial Involvement & No Cargo Liability: The GeoPilot operates exclusively as a software provider. The GeoPilot is NOT a freight forwarder, motor carrier, broker, or party to any contract, cargo claim, property damage, advance payment, deposit, or dispute between the Moving Company and the end-consumer. You agree to hold The GeoPilot harmless from any consumer claims arising from your relocation services.
3. Subscriptions, Invoicing, 30-Day Trial & Refund Policy
3.1 30-Day Free Trial: Eligible new moving enterprises receive a 30-day evaluation period comprising CRM dashboard access, AI knowledge base training, and email lead notifications. Multi-staff WhatsApp lead routing and custom domain scraping integrations are premium features exclusive to active Paid Tiers.
3.2 Custom Invoicing & Billing: Subscription tiers (Growth, Enterprise) are configured following personalized sales consultation. Invoices and secure payment links are delivered directly to the Customer’s registered billing email. There are no automated hidden card rebills.
3.3 Strict No-Refund Policy: All subscription fees, onboarding setup charges, and AI compute allocations paid to The GeoPilot are strictly non-refundable once service has commenced or customized scraping/AI compute resources have been provisioned, except where mandated by non-waivable statutory consumer protection laws.
4. Acceptable Use & Prohibited Activities
You agree not to: (a) reverse-engineer or decompile the widget script or API endpoints; (b) train competing AI models using The GeoPilot's proprietary data workflows; (c) utilize the Service for hazardous, illegal, or prohibited freight; (d) execute automated flood/DDoS attacks on the webhook infrastructure; or (e) misrepresent The GeoPilot's AI assistant as a licensed human insurance underwriter.
5. Data Processing Addendum (DPA)
To the extent The GeoPilot processes personal data (such as end-consumer names, phone numbers, and addresses) on behalf of the Moving Company, the parties acknowledge that the Customer acts as the Data Controller (or Data Fiduciary) and The GeoPilot acts as the Data Processor under applicable global data protection frameworks (including India DPDP Rules, EU/UK GDPR, and US State Privacy Laws).
- Processing Instructions: The GeoPilot processes lead data solely to deliver the AI receptionist, aggregate CRM boards, and dispatch alerts to your designated team.
- Confidentiality & Security: All personnel and subprocessors are bound by strict confidentiality and utilize TLS 1.3 in-transit and AES-256 at-rest encryption.
- Data Subject Assistance: We provide tools in your dashboard to modify, export, or permanently delete consumer lead records upon verified consumer request.
- Data Return & Deletion: Upon account termination, Customer data is deleted within 90 days from production databases.
6. Authorized Subprocessors Registry
The Customer grants general written authorization for The GeoPilot to engage the following trusted infrastructure subprocessors solely for service delivery:

7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India, without regard to conflict of law principles.
